I can't find the reference at present, but through wrestling with a Win98
machine here, I discovered that although Win98 has a FAT32 file system, it is
a variant of the FAT32 on WIN95 (FAT32X I think it's called). It's sufficiently
different to Win95 FAT32 that many disk utilities screw up.
FWIW, I prefer PRESIZER (Partition Resizer) to FIPS most of the time.
