[plug] networking problems

I can't seem to get my networking to work
i'm using a crossover cable between a 3com etherlink III and a card that i 
found the ne driver works on ( its a COMPEX  )
have i got this right or am i completely wrong?

box 1:
modprobe ne io=0x300
ifconfig eth0 up
ifconfig eth0 inet 192.168.5.1
ifconfig eth0 netmask 255.255.255.0

box 2:
modprobe 3c509
ifconfig eth0 up
ifconfig eth0 inet 192.168.5.2
ifconfig eth0 netmask 255.255.255.0
