actually, (and i feel rather silly)

it was my permissions in my fstab

i needed to add a uid and gid reference...

Sounds like a W2K issue. Try adding the user you're mounting the drive as to
the Administrators group on the W2K box. Note: There may be security issues
you need to explore here.
