Thought I would share my findings regarding this issue.
I ended up building a temp server and installing the faulty server's hdd in it as /dev/hdb.
After mounting the various partitions, I stumbled across a file rk.tar.gz. Turns out the system had been hacked and a root kit applied. This kit once I read the script replaced all sort of apps and this is what caused the system once rebooted not to boot properly. Since this unit isn't on our regular update list (client doesn't want to pay the monthly fee for support) needless to say they will be from here on out. Goes to show, gotta keep those systems updated.
